The purpose of our Service is to provide an online platform that facilitates transactions between buyers (“Buyers”) and sellers (“Sellers”) (collectively referred to as “Users” or “Parties”) for trading goods. The actual sales agreement is made solely between Buyers and Sellers; NiuTVMall is not a party to that agreement or any other contract related to your transaction. NiuTVMall does not assume liability for these contracts. Buyers and Sellers are fully responsible for their sales agreements, product listings, purchase guarantees, and other related obligations.

NiuTVMall does not participate in transactions among Users or pre-screen content provided by Users.

1.3 Acceptance of Terms
Before you become a User of this Website, you must read and accept all terms outlined in these Terms of Service, as well as any related terms referenced or linked herein. You must also agree to our Privacy Policy, which describes how your personal data is processed and handled.

1.4 Modification of Services
NiuTVMall reserves the right to modify, suspend, or discontinue all or part of this Website or its Services at any time to comply with legal requirements or fulfill good faith principles. Certain Services or features may be offered in beta form, which may not function fully or may differ from their final versions. NiuTVMall also reserves the right to restrict certain features, functionalities, or access to parts of or the entirety of this Website as required by regulation or at its discretion.

(iii) Permit the Disclosing Party to review the data that has been collected about them by the Recipient.
In cases related to (ii) and (iii), compliance must adhere to relevant privacy laws and regulations.

3. Limited License

3.1 Grant of Limited Rights

5. Accounts and Security

5.1 Account Registration and Access
Certain features of the Services require you to register for an account. During registration, you must choose a unique user identifier (hereinafter referred to as “User ID”) and password, and provide some personal information. NiuTVMall reserves the right to suspend or terminate your account if the chosen User ID is deemed offensive or inappropriate at our sole discretion.

Your account may also be used to access other products, websites, or services that we have enabled for such use or are affiliated with or partnered with NiuTVMall. However, NiuTVMall does not review or endorse the content, functionality, security, services, privacy policies, or other terms of these third-party products, websites, or services. If you choose to use them, their terms of service—including their privacy policies, which may differ from ours—will apply to your use of their products, websites, or services.

5.2 Account Responsibility
You agree to:

(a) Keep your password confidential and use your User ID and password only for logging into your account;
(b) Ensure that you log out of your account after each session;
(c) Immediately notify NiuTVMall of unauthorized use of your account, User ID, or password; and
(d) Ensure that the information associated with your account is accurate and kept up-to-date.

You are fully responsible for all activity occurring under your User ID and account, even if you did not initiate such activity. NiuTVMall is not liable for any losses or damages arising from unauthorized use of your password unless stated otherwise under Section 32.15.

5.3 Account Termination or Suspension by NiuTVMall
NiuTVMall reserves the right to terminate or deactivate your account, User ID, and associated content at any time with prior notice, or where appropriate, without notice, to comply with legal requirements or in good faith under the following circumstances:

(a) Prolonged inactivity, defined as failure to log in for an extended period, as determined by NiuTVMall.
(b) Violation of these Terms of Service.
(c) Fraudulent, harassing, defamatory, threatening, abusive, or otherwise unlawful activities.
(d) Operating multiple user accounts without authorization.
(e) Accounts linked to payments seized by court orders or law enforcement.
(f) Submitting false identity information that has been verified as fraudulent.
(g) Purchasing products from the Website for commercial resale purposes.
(h) Unusual or excessive purchases from the same seller or related sellers.
(i) Misuse of promotional codes (e.g., selling codes, reselling at inflated value, or excessive use).
(j) Activities causing harm to other Users, third parties, or NiuTVMall’s business interests—e.g., false transactions, abuse of free shipping or discounts.

If your account is found to be used for fraudulent, harassing, defamatory, threatening, abusive, or unlawful purposes, NiuTVMall may report such activity to law enforcement without prior notice to you.

5.4 Voluntary Account Termination
You may terminate your account at any time by contacting the NiuTVMall support team. Termination of your account does not waive your obligation to complete any pending transactions, product deliveries, or payment obligations initiated before or after the termination request. Please ensure that all ongoing activities are resolved promptly and effectively before contacting us for account closure.

NiuTVMall is not liable for any damages resulting from actions taken under this clause. By agreeing to these Terms, you waive all claims against NiuTVMall arising from actions taken as part of account termination or suspension.

5.5 Geographic Restrictions
You may only use the Services and/or create an account if you reside in one of the countries where NiuTVMall currently operates or authorizes access.

6. Terms of Use

6.1 Effectiveness of Authorization
The authorization to use this Website and the Services remains valid until terminated. This authorization will automatically terminate in the event of any of the following: circumstances outlined in these Terms of Service, or failure to adhere to any of the terms or conditions herein. In such cases, NiuTVMall, at its sole discretion and with or without notification, may terminate your authorization.

6.2 Prohibited Activities
By using this Website, you agree not to:

(a) Upload, post, transmit, or otherwise make available any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, invasive of another’s privacy, hateful, or otherwise objectionable;
(b) Violate any laws, third-party rights, or NiuTVMall’s policies on prohibited and restricted items;
(c) Upload, post, or transmit content harming minors in any way;
(d) Impersonate any individual or entity or misrepresent your relationship with any person or entity;

(f) Remove any proprietary marks from this Website;
(g) Modify, create derivative works from, or translate the Services without explicit permission;
(h) Use the Services for unauthorized third-party purposes;
(i) Engage in fraudulent actions using the Services;
(j) Register or use multiple user accounts in violation of these Terms;

(l) Manipulate product listings or interfere with other users’ listings;
(m) Take actions to disrupt NiuTVMall’s feedback or ranking system;

(o) Collect or harvest personal data of other users;
(p) Share content you are not authorized to disclose under legal or private agreements;
(q) Upload content infringing on third-party patents, copyrights, trademarks, or trade secrets;

(s) Transmit or make available any malicious software (e.g., viruses, worms, Trojans);
(t) Disrupt communication flow for other users;

(w) Use the Services to violate or circumvent local, state, national, or international laws, including anti-terrorism and anti-money laundering regulations;

(z) Infringe upon NiuTVMall’s intellectual property rights or commit acts of counterfeiting;
(aa) Gather or store the personal information of other users through prohibited activities;
(bb) Post items infringing third-party intellectual property rights or misuse the Services for similar violations; and
(cc) Contact NiuTVMall’s customer service in harassing, defamatory, or abusive ways, including using vulgar or obscene language.

6.3 Content Responsibility
You understand that you alone bear full responsibility for any content you upload, post, email, or otherwise provide on this Website. NiuTVMall does not assume responsibility for any content, including inaccuracies or omissions, provided by users. You acknowledge that by using the Website, you may encounter unpleasant or objectionable content.

6.4 Content Management by NiuTVMall
You agree that NiuTVMall and its designees have the right (but not the obligation) to pre-screen, refuse, delete, or move any content submitted through the Website if:

(i) It violates these Terms of Service or NiuTVMall’s prohibited and restricted items policy;
(ii) It is flagged or reported by other users;
(iii) It violates intellectual property rights, as notified by legal authorities or rights holders; or
(iv) It is deemed objectionable.

Additionally, to protect the integrity of the Services or enforce these Terms, NiuTVMall may block, filter, or restrict certain transmissions including, but not limited to, updates, posts, and chat messages without bearing liability for such actions.

6.5 Legal Obligations on Data Access and Disclosure
You acknowledge, allow, and agree that NiuTVMall may access, retain, or disclose your account information, content, or other data provided to us if required by:

(a) A lawful request under applicable laws or regulations;
(b) A valid court order or mandate from an authorized government agency;
(c) Good faith efforts to enforce the Terms of Service or prohibited items policies;
(d) Responses to claims of third-party intellectual property infringement;
(e) Requests for customer service assistance; or
(f) Efforts to protect the rights, property, or safety of NiuTVMall, users, or the public.

7. Violation of Our Terms of Service

7.1 Consequences of Violations
Violations of this policy may result in a range of corrective actions, including, but not limited to, the following:

• Removal of product listings.
• Restriction of account privileges.
• Suspension of the account, followed by possible termination.
• Initiation of criminal prosecution.
• Civil claims, including but not limited to demands for damages and/or the application for injunctive relief.

7.2 Reporting Violations
If you suspect that any user of this Website has violated these Terms of Service, please contact the NiuTVMall customer service team for assistance.

8. Notification of Intellectual Property Infringement

8.1 Protection of Intellectual Property Rights
As stated, NiuTVMall does not permit the listing of items that infringe on the intellectual property rights of brand or intellectual property rights owners (hereinafter referred to as “IPR Owners”).

8.2 Independence of Users
Unless explicitly stated otherwise, all users are independent individuals or businesses with no affiliation to NiuTVMall. NiuTVMall is neither an agent nor a representative of the user and does not own or hold any of the items listed on this Website.

8.3 Reporting Intellectual Property Infringement
If you are an IPR Owner or an agent authorized by the IPR Owner (hereinafter referred to as “IPR Agent”) and believe that your or your client’s rights have been infringed upon through reproduction, display, or distribution of your works via the Services, contact NiuTVMall’s customer service team. Please provide the following information to substantiate your claim. Allow sufficient time for us to process your submission; NiuTVMall will respond as promptly as possible within reasonable limits.

8.4 Required Information for Infringement Claims
An infringement notice must be submitted in the format designated by NiuTVMall (subject to updates) and must include, at a minimum, the following information:

(a) A physical or electronic signature of the IPR Owner or IPR Agent (“Notifier”).
(b) A description of the type and nature of the intellectual property alleged to have been infringed, along with proof of ownership.
(c) Details about the alleged infringement sufficient to allow NiuTVMall to evaluate the claim.
(d) Specific URL links of the listings containing the allegedly infringing content.
(e) Contact information for the Notifier, including a physical address, phone number, and email address.
(f) A statement made in good faith by the Notifier that the infringing use is not authorized by the IPR Owner or under legal permissions.
(g) A declaration that the information provided in the notice is accurate, and the Notifier is authorized to act on behalf of the IPR Owner to handle all matters related to this infringement notice. The declaration must also acknowledge liability for compensating NiuTVMall for any damages arising from false information submitted in the notice.

8.5 Exclusivity Agreements and Pricing Concerns
NiuTVMall acknowledges that manufacturers may enforce exclusive distribution agreements or minimum advertised pricing (MAP) agreements under applicable law. Violations of such agreements do not constitute intellectual property infringement. Enforcement of such agreements is the sole responsibility of the contract parties (e.g., manufacturer and distributor). NiuTVMall will not assist or arbitrate in enforcing exclusivity or pricing controls unless explicitly required by law.

8.6 Seller Liability and Indemnity
Unless specific indemnity provisions under Section 23 apply, sellers agree to indemnify and hold NiuTVMall and its affiliates harmless against any claims, demands, or judgments—arising from or relating to the following:

(a) Allegations, complaints, or regulatory actions concerning intellectual property infringement by the uploaded content or listed goods; and
(b) The removal of content or listings based on infringement claims or related violations.

9. Purchases and Payments

9.1 Payment Methods Supported
NiuBuyMall and its partnered payment service providers support one or more of the following payment methods in the countries where they operate:

(i) Credit Card
Payment via credit card is processed through third-party payment platforms. The type of credit cards accepted depends on the jurisdiction in which the transaction occurs.
(ii) Cash
In selected countries, NiuBuyMall or partnered payment providers offer the option of cash payment. Buyers may pay in cash prior to receiving purchased goods.

9.2 Payment Method Adjustments
Buyers can change their selected payment method only before completing the payment process.

9.3 Payment Confirmation and Error Handling
Before making a payment, buyers must verify their payment instructions using the reconfirmation mechanism provided by NiuBuyMall.

• If a payment error occurs for reasons not attributable to the buyer, NiuBuyMall or its partnered payment provider will help correct the error and provide necessary assistance.
• For errors caused by NiuBuyMall or its partnered payment provider, corrections will be made immediately upon discovery, with notifications sent to buyers via email, SMS, or app notifications.
• If the payment error is caused by the buyer (e.g., entering the wrong amount or payee), NiuBuyMall or its payment partner will assist the buyer in resolving the issue promptly after notification.

NiuBuyMall reserves the right to verify buyer authorization for specific payment methods. Transactions may be paused until authorization is confirmed or canceled if confirmation fails. After successful payment, buyers will receive a detailed notification (via email, SMS, or app notifications) and be able to view the transaction record in their NiuBuyMall Wallet in real time.

9.4 Bank Transfer for Payments and Refunds
To receive sales proceeds or refunds via bank transfer, sellers must:

• Provide accurate bank account details matching the name on their NiuBuyMall account.
• Ensure the account is owned by them and submit it for verification.

If discrepancies exist between the seller’s bank account details and their NiuBuyMall account information, or if verification cannot be completed, NiuBuyMall may:

• Refuse to process the payment or withhold the funds until the seller provides consistent and accurate details.
• Suspend or deny access to certain features of the Services if required for security or compliance reasons.

For the sake of transaction security, NiuBuyMall retains the right to authenticate the bank account details and may temporarily or permanently stop providing Services if the details remain inconsistent or unverifiable.

10. Disputes

10.1 Dispute Resolution Between Buyer and Seller
In the event of a problem with a transaction, buyers and sellers agree to communicate with each other first to resolve the dispute. NiuBuyMall will use reasonable commercial efforts to facilitate this communication. However, if specific policies issued by NiuBuyMall apply to the dispute, they will take precedence.

If the dispute cannot be resolved through direct communication between the buyer and seller, the users may seek assistance from their local dispute resolution authorities with jurisdiction to address any issues arising from the transaction.

10.2 Limitation of Claims Against NiuBuyMall
Both buyers and sellers agree and warrant that they will not file a claim or lawsuit against NiuBuyMall or its affiliates for any disputes related to transactions conducted on this Website, unless NiuBuyMall or its affiliates are the sellers of the specific item in dispute.

10.3 NiuBuyMall Performance Guarantee
For users entitled to coverage under the NiuBuyMall Performance Guarantee, NiuBuyMall may be requested in writing to assist with resolving issues arising from disputes. NiuBuyMall, acting in good faith, has discretion to take all necessary steps to assist users with dispute resolution. However, this does not establish any liability on the part of NiuBuyMall toward either the buyer or the seller. Detailed information can be found in the Refund and Return Policy.

10.4 Scope of Coverage
Explicitly, the services provided under this section are available only to buyers covered by the NiuBuyMall Performance Guarantee. Buyers who use other payment methods must contact the seller directly to resolve any issues.

11. Feedback

11.1 NiuBuyMall Feedback Policy
NiuBuyMall welcomes user feedback to help enhance the quality of its services. Please follow the guidelines outlined below for submitting feedback:

(i) Feedback must be submitted via one of the following methods:

• Written correspondence (physical mail or email).
• Feedback forms available within the NiuBuyMall app.

(ii) Anonymous feedback will not be accepted.
(iii) Users involved in the feedback topic will be fully informed of all relevant facts and given the opportunity to express their viewpoint.
(iv) Feedback that is vague, defamatory, or lacks constructive details will not be considered.

14. General Provisions

14.1 Reserved Rights
NiuBuyMall retains all rights not expressly granted under this agreement.

14.2 Modifications to the Terms of Service
NiuBuyMall reserves the right to amend these Terms of Service at any time by publishing a revised version on the Website and notifying users via email, SMS, or app notifications. Any changes made without such notice shall be invalid. Your continued use of the Website and/or Services, including maintaining an account, after the revised terms are published constitutes your acceptance of the updated Terms of Service.

14.3 Non-transferability of Rights and Obligations
You may not assign, sublicense, or transfer any rights granted to you, nor delegate any obligations under these Terms.

14.4 No Agency or Partnership

• The UK Bribery Act,
• The US Foreign Corrupt Practices Act,
• The Singapore Prevention of Corruption Act.
